Welcome to weLoop ("weLoop", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of the weLoop website, platform, Shopify app, and related services (collectively, the "Services").
By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
1. Acceptance of Terms
By using weLoop, you confirm that you have read, understood, and agree to comply with these Terms and applicable laws and regulations. If you use the Services on behalf of a company, you represent that you have authority to bind that entity.
2. Description of Services
weLoop provides software to enable circular commerce workflows (resale, rental, repair, trade in, and subscriptions) for brands using Shopify. Where available, weLoop also supports compliance, traceability, and Digital Product Passport (DPP) related data collection and outputs.
Key features may include:
- Connecting to Shopify stores to import or sync product data
- DPP style questionnaires and structured data collection
- Supplier information management and optional AI assisted data structuring
- Generation of QR codes, widgets, and related website components
- Data export and portability features
- Optional public knowledge contributions for transparency (when enabled by you)
The Services are provided for enablement and operational support. You are responsible for how you use the outputs, including compliance decisions.
3. Eligibility and Account Responsibilities
- You must be at least 18 years old to use the Services.
- You are responsible for safeguarding your account credentials and access tokens.
- You must provide accurate and up to date information and promptly update changes.
- You are responsible for all activity that occurs under your account.
4. Use of Shopify and Billing
weLoop integrates with Shopify to provide the Services. If you install weLoop via Shopify, billing (if any) is processed through Shopify according to your plan and Shopify billing rules. weLoop does not collect or store your payment card details.
5. User Conduct and Prohibited Use
You agree to use the Services only for lawful purposes.
- Do not attempt to gain unauthorized access to the Services, servers, or related systems.
- Do not introduce malware, viruses, or other harmful code.
- Do not disrupt, overload, or interfere with the Services or other users.
- Do not use the Services to violate privacy laws, consumer protection laws, or intellectual property rights.
- Do not misuse outputs (including QR codes, widgets, or DPP related data) in a misleading way.
6. Data, Content, and Privacy
You retain ownership of data you submit to weLoop. You grant weLoop a limited license to host, process, and display your data solely to provide and improve the Services. You are responsible for ensuring you have the rights and permissions to submit data (including customer data) and to use any communications features.
Our Privacy Policy explains how we collect, use, and protect data.
7. Third Party Services
The Services may depend on or integrate with third party services, including Shopify and public or private data sources. Third party services are governed by their own terms and policies. weLoop is not responsible for third party availability, accuracy, or reliability.
8. Intellectual Property
The Services, including software, designs, text, logos, and documentation, are owned by weLoop or its licensors and are protected by applicable intellectual property laws. Subject to these Terms, we grant you a limited, non exclusive, non transferable right to access and use the Services for your internal business purposes.
You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Services except to the extent permitted by law.
9. Service Availability and Changes
We may update, change, suspend, or discontinue any part of the Services at any time, including features or integrations. We aim to minimize disruption but do not guarantee uninterrupted availability.
10. Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, weLoop disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non infringement.
weLoop does not warrant that the Services will be error free, secure, or uninterrupted, or that outputs will meet any specific legal or regulatory requirements in your jurisdiction.
11. Limitation of Liability
To the maximum extent permitted by law, weLoop will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of the Services.
To the maximum extent permitted by law, weLoop's total liability for claims relating to the Services will not exceed the amounts paid by you to weLoop for the Services in the 12 months before the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold harmless weLoop, its officers, directors, employees, agents, licensors, and suppliers from and against claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your data, or your violation of these Terms or applicable law.
13. Termination
We may suspend or terminate your access to the Services if you breach these Terms, if required by law, or to protect the Services and other users. You may stop using the Services at any time. Sections that by their nature should survive termination will survive.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of Switzerland, without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the competent courts in Switzerland.
15. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
16. Entire Agreement
These Terms, together with the Privacy Policy and any additional terms presented within the Services, constitute the entire agreement between you and weLoop regarding the Services and supersede prior agreements or communications on that subject.
17. Updates to These Terms
We may update these Terms from time to time. We will post the updated version on this page and update the "Last Updated" date. Your continued use of the Services after an update means you accept the updated Terms.
